CERTIFICATION SERVICES

In the State of South Carolina, Articles of Incorporation for For-Profit Corporations and Beneficial Corporations must be signed by an attorney licensed to practice law in the state. The attorney must certify that all of the requirements of Section 33-2-102 of the South Carolina Business Corporation Act of 1988, as amended, have been complied with. Section 33-2-102 establishes what information must be included in articles of incorporation by statute and what information may be include. This does not apply to Non-profit Corporations.

To have the attorney with this firm certify South Carolina Articles of Incorporation using your online South Carolina Secretary of State business filing account, fill-in the blanks and check boxes below with the appropriate information. After you electronically sign and submit your information, we will each receive a copy of your request by email and you will be brought to the Lawyer Payment page to make payment. Payment is required before certification services will be provided.

    • The attorney fee for statutorily required certification of Articles of Incorporation using an online South Carolina Secretary of State business filing account or a standard South Carolina Secretary of State Articles of Incorporation hard copy form is $175.00.
    • The attorney fee for certifying Articles of Incorporation that do not use standard Secretary of State formats, because custom-drafted or using customized addenda, is $225.00.

This fee is for attorney services only and does not include South Carolina Secretary of State filing fees or the submission of your Articles, which are your responsibility. I provide new clients with a 1-hour initial telephone consultation for $45.00 to discuss use of the above documentation or other corporate formation or startup related concerns. Appointment times are set by mutual agreement based on time and dates available.

Strictly Limited Engagement

I/We acknowledge that the certifying attorney has not reviewed or advised Me/Us or My/Our Authorized Agent on any other documentary, legal, tax, or regulatory aspects of the formation or operation of the Corporation. Login Credentials

I/We or My/Our Authorized Agent shall provide the certifying attorney with login credentials to My/Our South Carolina Secretary of State business filing account so that he may directly review the Articles and upload a signed Signature Page PDF if and when he is able to certify them. Such credentials may be provided to the certifying attorney by voicemail or direct telephone conversation using any of the Firm's telephone numbers, or simply inputted below and included in this emailed request:

Fee Policy

By submitting this request for flat fee certification services, you further agree that the terms and conditions of the Firm's Fee Policy shall be incorporated into this request. Any direct conflicts between this request and the Firm's Fee Policy shall be resolved in favor of this request. By submitting this request, you acknowledge that you have read, understood, and agreed to its provisions and understand that no services shall be performed until applicable fees have been paid.

Disclaimer

I/We understand that neither the attorney nor the Firm guarantee that the Articles of Incorporation will ultimately be approved by the South Carolina Secretary of State and that no refunds are given in the event that I am/We are unable to timely provide documents or information as required or reasonably requested or in the event the filing is rejected by the Secretary of State or abandoned by you.

Additional Services

In the event that services other than those requested above turn out to be needed and the certifying attorney agrees to provide such services after approval by you, any such alternative or additional service shall be billed pursuant to the terms and conditions of the Firm's Fee Policy or other applicable Fee Schedule, such as creation of corporate bylaws, record book, trademark application, or other services.
